German Authority Approves Warburg Pincus Acquisition of PSI Software
The German competition authority has cleared the acquisition of PSI Software SE by Warburg Pincus, along with E.ON's significant influence over PSI.

The Bundeskartellamt, Germany's competition authority, has approved the planned acquisition of PSI Software SE, based in Berlin, by Warburg Pincus, LLC from New York, USA. This approval also includes an investment and framework agreement between Warburg Pincus, PSI, and E.ON SE from Essen.
Warburg Pincus is an American private equity firm with portfolio companies operating across various sectors. E.ON is a major energy supplier and the largest distribution network operator in Germany.
The PSI Group specializes in developing and delivering industrial software solutions for energy, manufacturing, infrastructure, and logistics sectors. One of their key products is PSIcontrol, a control system used for monitoring, controlling, and simulating power grids, which is utilized by operators of large area power grids in Germany.
While there are some overlaps between Warburg Pincus's portfolio companies and PSI's activities, they do not operate in PSI's core service areas. Andreas Mundt, President of the Bundeskartellamt, stated that E.ON, being the largest customer of PSI, already has significant influence over the development of PSIcontrol software. However, this influence will not substantially increase due to the acquisition. Warburg Pincus, as the future majority owner, has no interest in discriminating against other PSI customers in favor of E.ON.
It is important to note that the Bundeskartellamt is solely responsible for assessing the competitive effects of merger projects, while any security policy aspects are subject to review by the Federal Ministry for Economic Affairs and Energy.
