The Spanish competition authority, CNMC, has approved the acquisition of Logista Publicaciones by Boyacá, subject to certain commitments aimed at preserving competition in the market for periodical publications distribution.

Boyacá and Logista operate in a concentrated market with significant barriers to entry, primarily due to economies of scale and a decline in demand for printed publications. The CNMC identified potential risks associated with the merger, including reduced competitive pressure and enhanced negotiating power for Boyacá against publishers and distributors.

To mitigate these risks, Boyacá has committed to maintaining existing commercial conditions for publishers and distributors for four years, providing services to new clients under equivalent conditions, and ensuring the separation of its transportation and distribution activities. Additionally, Boyacá will avoid overlapping board members with the regional distributor Beralan for six years.
