French Competition Authority Approves GL Events' Acquisition of S-Pass with Conditions
The French competition authority has cleared GL Events' acquisition of S-Pass, subject to commitments aimed at preserving competition in the Marne department.

On January 29, 2026, GL Events notified the French competition authority of its planned acquisition of the entertainment venue and exhibition centre management activities of the Fimalac group through S-Pass Theatres Spectacles Evènements.
After a thorough examination, the authority approved the acquisition but imposed conditions to mitigate identified competition risks, particularly in the Marne department. GL Events agreed to behavioral remedies to prevent the misuse of market power against public authorities and event organizers.
GL Events operates a network of venues and ancillary services, while S-Pass manages 23 venues across France. The acquisition is part of a broader divestment strategy for Fimalac Entertainment, which includes a previous acquisition by Trévise Participations.
The authority's investigation revealed potential monopolistic risks in the Marne department, where the merger could create a monopoly in managing large-capacity entertainment venues and consumer trade fairs. The authority consulted various stakeholders, including clients and competitors, to assess the competitive landscape.
To address these concerns, GL Events committed to submitting competitive bids for the management of the Capitole de Châlons-en-Champagne and Millesium d’Épernay venues, ensuring favorable conditions for event organizers. Additionally, GL Events will maintain operational separation and autonomy for the management of these venues to promote competition.
An independent trustee will oversee the implementation of these commitments, allowing the authority to clear the transaction following a phase 1 examination.
