CC S.25 - 00 30 : Participatiemaatschappij Vlaanderen / Brussels Airport Company . – Cas susceptible d’être traité selon la procédure simplifiée Le 2 3 septembre 2025 , l’auditeur général de l’Autorité belge de la Concurrence a reçu une notification de concentration au sens de l'article IV.10, § 1er du livre IV «Protection de la concurrence » du Code de droit économique. L e projet de concentration porte sur l'acquisition d ’une participation de contrôle dans Brussels Airport Company par Participatiemaatschappij Vlaanderen. À la suite de la concentration envisagée, Participatiemaatschappij Vlaanderen, conjointement avec Brussels Airport Investments et la Société fédérale de participation et d'investissement, acquerr ont le contrôle conjoint de Brussels Airport Company. Selon la notification, la concentration concerne le s secteur s suivant : (i) services auxiliaires des transports ; (ii) hôtels et hébergement similaire ; (iii) location et exploitation de biens immobiliers propres ou loués ; ( iv) programmation, conseil et autres activités informatiques. Conformément à l’article IV.70 , §1er du Code de droit économique, la partie notifiante a demandé l’application de la procédure simplifiée. L’Auditorat invite les tiers ayant un intérêt à transmettre leurs éventuelles observations sur l'opération de concentration envisagée de préférence avant le 1 er octobre 2025. MEDE.CCS.25 - 00 30 : Particpatiemaatschappij Vlaanderen / Brussels Airport Company . - Zaak die in aanmerking kan komen voor de vereenvoudigde procedure Op 2 3 september 2025 ontving de auditeur - generaal van de Belgische Mededingingsautoriteit een aanmelding van een concentratie in de zin van artikel IV.10 , § 1 van boek IV “Bescherming van de mededinging” van het Wetboek van economisch recht. De voorgenomen concentratie heeft betrekking op de verwerving van een controlerend belang door Participatiemaatschappij Vlaanderen in Brussels Airport Company . Als gevolg van de voorgenomen concentratie zal Participatiemaatschappij Vlaanderen, samen met Brussels Airport Investments en de Federale Participatie - en Investeringsmaatschappij gezamenlijke zeggenschap verkrijgen over Brussels Airport Company. Volgens de aanmelding heeft de concentratie betrekking op de volgende sector en: (i) diensten in verband met de luchtvaart; (ii) hotels en dergelijke accommodatie; (iii) verhuur en exploitatie van eigen of geleased onroerend goed; ( iv ) computerprogrammering, consultancy en aanverwante activiteiten. Overeenkomstig artikel IV.70 , §1 van het Wetboek van economisch recht, heeft de aanmeldende partij de toepassing van de vereenvoudigde procedure gevraagd. Het Auditoraat verzoekt belanghebbende derden hun eventuele opmerkingen ten aanzien van de voorgenomen concentratie kenbaar te maken, bij voorkeur voor 1 oktober 202 5 . Notification of Merger Between Participatiemaatschappij Vlaanderen and Brussels Airport Company

On September 23, 2025, the Belgian competition authority received a notification concerning a merger under Article IV.10 of the Economic Code. The proposed merger involves Participatiemaatschappij Vlaanderen acquiring a controlling interest in Brussels Airport Company.

As a result of this merger, Participatiemaatschappij Vlaanderen, along with Brussels Airport Investments and the Federal Participation and Investment Company, will jointly control Brussels Airport Company.

The sectors affected by this merger include auxiliary transport services, hotels and similar accommodations, rental and operation of real estate, and programming, consulting, and other IT activities.

In accordance with Article IV.70 of the Economic Code, the notifying party has requested the application of a simplified procedure. The authority invites interested third parties to submit their observations regarding the proposed merger, preferably before October 1, 2025, via email referencing MEDE.CC.S.25-00-30.
