Mitsui Europe Gains Approval for ITC Rubis Terminal Acquisition

The Belgian Competition Authority has approved Mitsui Europe’s acquisition of ITC Rubis Terminal Antwerp, facilitating Mitsui's control over liquid chemical and gas storage operations.


On April 24, 2025, the Belgian Competition Authority (BCA) granted approval for Mitsui & Co Europe Ltd to acquire ITC Rubis Terminal Antwerp NV. The acquisition was notified on April 15, 2025, and Mitsui requested the application of a simplified procedure for the review.

Mitsui Europe is responsible for managing the operations of Mitsui & Co Ltd in Europe, focusing on international trade, investments in new businesses, and providing financial services. ITC Rubis specializes in the storage and transshipment of liquid chemicals and liquefied gas at the Port of Antwerp.

Prior to the acquisition, Mitsui Europe held joint control over ITC Rubis alongside Tepsa Infra SAS, with both parties owning 50% of the share capital. The BCA concluded that the conditions for the simplified procedure were satisfied and that the merger did not raise any competition concerns.

The BCA plays a crucial role in enforcing competition policy in Belgium, addressing anti-competitive practices, and reviewing significant mergers. It collaborates with other EU competition authorities and the European Commission as part of the European Competition Network.
