German Company Gains Approval for Insurance Market Merger with Conditions
The Lithuanian competition authority has approved the merger of Münchener Rückversicherungs-Gesellschaft through ERGO International's acquisition of Gjensidige, contingent on specific commitments to maintain competition.

The Lithuanian Competition Council has granted approval for the merger involving Münchener Rückversicherungs-Gesellschaft Aktiengesellschaft in München (MRGAM) acquiring 100% of the shares of Gjensidige, an insurance company. This approval comes after MRGAM committed to sell Gjensidige's carrier liability insurance portfolio to an approved buyer and to refrain from competing for the transferred customers for a specified period.
Upon reviewing the merger notification submitted on April 22, 2025, the Merger Control Group identified that the acquisition could create or strengthen a dominant position in the low-premium segment of the carrier liability insurance market in Lithuania. To mitigate these concerns, MRGAM revised its commitments on December 10, 2025.
As part of the commitments, MRGAM will transfer all existing Gjensidige carrier liability insurance contracts to a buyer unrelated to the transaction parties. The company is also required to maintain the value and scope of these contracts until the transfer, refrain from competing for the transferred customers for two years, provide transitional services as agreed with the buyer, and keep the Competition Council informed about the implementation of these commitments.
MRGAM has proposed If P&C Insurance, an Estonian insurance company, as the potential purchaser of Gjensidige's business. The Competition Council has approved this candidate and the purchase agreement, confirming it aligns with the commitments made by MRGAM.
The merger has been cleared on the condition that the identified negative effects on competition will be addressed through the proper and timely implementation of the commitments. The decision can be appealed to the Regional Administrative Court within one month of its publication.
