Approval of Merger Between Auctor Holding, SPV Second, and OT Logistics

The Croatian competition authority has approved the merger involving Auctor Holding, SPV Second, and OT Logistics, determining it does not significantly affect competition in Croatia.

The Croatian competition authority (AZTN) has granted approval for the merger between Auctor Holding a.s., SPV Second a.s., and OT Logistics S.A. This merger involves the acquisition of indirect joint control over OT Logistics by Auctor Holding and SPV Second through DD Rail Properties a.s.

The merger application was submitted on March 9, 2026, and was reviewed under the relevant competition laws. AZTN published a public call for comments on March 11, 2026, but received no objections by the deadline of March 23, 2026.

The target company, OT Logistics, operates primarily in port operations, freight forwarding, and rail transport services in Poland. The merging companies do not operate in these markets in Croatia, and their presence is only indirect through a minority stake in Luka Rijeka d.d., without control.

This merger is classified as a 'foreign-to-foreign' concentration, as it does not involve any overlapping activities in Croatia. The AZTN concluded that the merger does not create or strengthen a dominant position nor significantly impede competition in the Croatian market.

As a result, the AZTN has determined that the merger is permissible at the first level, in accordance with Croatian competition law.
