Cgates Secures Approval for SPLIUS Business Acquisition

The Lithuanian Competition Council has approved Cgates' acquisition of a portion of SPLIUS's business, allowing the company to expand its telecommunications services in various regions.

The Lithuanian Competition Council has granted Cgates permission to acquire sole control of a newly established company that will take over parts of SPLIUS's business, which includes fixed Internet access, pay-TV, and telephony services. This merger notification was submitted on May 14, 2025, and is set to transfer specific business segments from SPLIUS to the new entity.

The business segments being transferred include fiber-optic Internet, smart TV, and fixed-line communication services in several regions, including Klaipėda, Gargždai, Kretinga, Šilutė, Radviliškis, Kuršėnai, Joniškis, Kelmė, Pasvalys, Naujoji Akmenė, and Pakruojis. The Competition Council assessed the transaction and concluded that it would not create or strengthen a dominant position or significantly restrict competition in the relevant markets.

Cgates is a provider of fixed Internet access, pay-TV, and telephony services in Lithuania, and it also engages in optical fiber rental and electronic device sales. The company is affiliated with EuVECA Livonia Partners, which controls investment funds that operate across the Baltic countries.

Importantly, the newly established company will not offer services in the city of Šiauliai, as the Competition Council previously determined that a full acquisition of SPLIUS by Cgates would restrict competition in that area. This decision follows a previous refusal in June 2021, which was upheld by the Supreme Administrative Court of Lithuania in May of the previous year.
