The concentration was notified on 15 April 2026 and the application of the simplified procedure was requested. Parkwind is a public limited company incorporated under Belgian law in 2012. It is primarily active in the development, financing, construction, and operation of offshore wind farms. North west er 2 is a public limited company incorporated under Belgian law in 2017 and has been operational since 2020. Nobelwind is a public limited company incorporated under Belgian law in 2013 and has been operational since 2017. Both companies operate offshore wind farms in the Belgian Exclusive Economic Zone. They are active in the production and sale of electricity. In its decision of 21 April 2026, the BCA found that the conditions for applying the simplified procedure were met, partly because of the limited market position of the parties and the limited overlap of their activities. The notified concentration does no t give rise to any objections. O p 15 april 202 6 ontving de auditeur - generaal van de Belgische Mededingingsautoriteit (verder “BMA”) een aanmelding van een concentratie in de zin van artikel IV.10, § 1 van het Wetboek van Economisch Recht (verder “WER”). De voorgenomen concentratie be staat uit de directe verwerving van de uitsluitende zeggenschap , in de zin van artikel IV.6, § 1, 2° WER, d oor Parkwind NV over Nobelwind NV en Northwester 2 NV. 2. De aanmeldende partij heeft toepassing gevraagd van de vereenvoudigde procedure zoals bepaald in artikel IV.70, § 1 WER. 3. Parkwind NV is een in 2012 opgericht e naamloze vennootschap naar Belgisch recht. Ze is voornamelijk actief in de ontwikkeling, financiering, b ouw en exploitatie van offshore windparken. 4. Northerwest er 2 NV is een in 201 1 opgerichte naamloze vennootschap naar Belgisch recht en is operationeel sinds 2020. Nobelwind NV is een in 2013 opgerichte naamloze vennootschap naar Belgisch recht en is operationeel sinds 2017. Beide vennootschappen exploiteren offshore windparken in de Belgisch e Exclusieve Economische Zone . Ze zijn actief in de productie en verkoop van elektriciteit. De voorgenomen concentratie heeft betrekking op volgende markten: a) De opwekking en groothandel van elektriciteit ; b) Detailhandel van elektriciteit 6. Uit het onderzoek van de aangemelde operatie blijkt dat de voorgenomen concentratie valt binnen het toepassingsgebied van boek IV WER en categorie II. 1.c), i) en ii) en II.1.d opgenomen in de nadere regels voor een vereenvoudigde aanmelding van concentraties zoals goedgekeurd door de Algemene Vergadering van de Raad voor de Mededinging op 8 juni 2007 2 . 7. Zoals bepaald in artikel IV.70, § 3 WER, stelt de auditeur vast dat aan de voorwaarden voor toepassing van de vereenvoudigde procedure is voldaan en dat de aangemelde concentratie geen aanleiding geeft tot verzet. 8. Overeenkomstig artikel IV.70, §4 WER dient deze brief te worden beschouwd als een toelatingsbeslissing van het Mededingingscollege in de zin van artikel IV.66 §2, 2° WER.
