The concentration was notified on 16 December 2025 and the application of the simplified procedure was requested. Sofindev VI is an investment company speciali s ed in private equity investments in the equity of small and medium - sized companies in the Benelux. Sofindev has built up experience in various sectors such as digital driven business services, service and trading companies that form a link in the logistics and supply chain of various sectors (food, ph armaceutical, construction, etc.) and niche companies in the manufacturing industry. IFW Globe is a holding company that directly holds 100% of the shares of Shipex NV and VDH Forwarding BV. Shipex and VDH Forwarding, as freight forwarders, organise freight transport for import and export. In its decision of 22 December 2025, the B CA found that the conditions for the application of the simplified procedure were met and that the notified concentration did not raise objections . Op 16 december 202 5 ontving de auditeur - generaal van de Belgische Mededingingsautoriteit (hierna: "BMA") een aanmelding van een concentratie in de zin van artikel IV.10, §1 van het Wetboek van E conomisch R echt (hierna “ WER"). 2. De voorgenomen concentratie betreft een wijziging van zeggenschap , in de zin van artikel IV.6, §1, 2° WER , waardoor Sofindev VI Comm . V . (hierna “Sofindev”) uitsluitende zeggenschap verwer ft over IFW Glob e NV (hierna “IFW Glob e ”). 3. De aanmeldende partij h eeft toepassing gevraagd van de vereenvoudigde procedure zoals bepaald in artikel IV.70, §1 WER. 4. Sofindev met zetel te Lambroekstraat 5D, 1831 Machelen en ingeschreven in de Kruispuntbank van Ondernemingen onder nummer 0795.416.628 is een investeringsmaatschappij gespecialiseerd in private equity investeringen (buy - outs en groeikapitaal) in het kapita al van kleine en middelgrote ondernemingen in de Benelux. Sofindev heeft ervaring opgebouwd binnen verschillende sectoren zoals digitaal gedreven zakelijke dienstverlening, diensten - en handelsbedrijven die een schakel vormen in de logistiek en toeleveringsketen van diverse sectoren (voeding, far ma, bouw enz.) en nichebedrijven in de maakindustrie. 5. IFW Globe met zetel te I j zerlaan 54 bus 2, 2060 Antwerpen en ingeschreven in de Kruispuntbank van Ondernemingen onder nummer 0552.734.407 is een holdingvennootschap die rechtstreeks 100% van de aandelen aanhoudt van Shipex NV (hierna “Shipex”) en rechtstreeks 100% van de aandelen aanhoudt van VDH Forwarding BV (hierna “VDH forwarding”). 6. Shipex met zetel te I j zerlaan 54 bus 2, 2060 Antwerpen en ingeschreven in de Kruispuntbank van Ondernemingen onder nummer 0423.055.897 is een internationale “ freight forwarder ” die instaat voor de organisatie van vrachtvervoer wat betreft export . 7. VDH Forwarding met zetel te I j zerlaan 54 bus 2, 2060 Antwerpen en ingeschreven in de Kruispuntbank van Ondernemingen onder nummer 0821.245.154 is een “ freight forwarder ” die instaat voor de organisatie van vrachtvervoer wat betreft import. 8. Uit het onderzoek blijkt dat de voorgenomen concentratie valt binnen het toepassingsgebied van het Boek IV van het Wetboek van Economisch Recht en categorie ën II.1. b ) zoals opgenomen in de 2 nadere regels voor een vereenvoudigde aanmelding van concentraties zoals goedgekeurd door de Algemene Vergadering van de Raad voor de Mededinging op 8 juni 2007 . 1 9. Zoals bepaald in artikel IV.70, §3 WER, stelt de auditeur vast dat aan de voorwaarden voor toepassing van de vereenvoudigde procedure is voldaan en dat de aangemelde concentratie geen aanleiding geeft tot verzet. 10. Overeenkomstig artikel IV.70, §4 WER dient deze brief te worden beschouwd als een toelatingsbeslissing van het Mededingingscollege in de zin van artikel IV.66 §2, 2 ° WER .
