The U.S. Department of Justice (DOJ) Antitrust Division has officially closed its investigation into the proposed merger between Seismic Software Inc. and Highspot Inc. This decision comes after a focused review of competitive concerns, which allowed the DOJ to reduce the compliance burden on the merging companies.

On February 12, Seismic and Highspot announced their definitive agreement to merge, both companies being key players in the sales enablement software market. The DOJ initiated an investigation and issued Second Requests to gather more information regarding the merger's potential impact on competition.

Deputy Assistant Attorney General G. Charles Beller emphasized that the DOJ critically evaluates claims made by merging companies, particularly those citing AI as a disruptive force justifying consolidation. The Division's approach involved a thorough examination of evidence, including documents and data from both merging parties and third parties.

Over three months, the DOJ conducted an extensive investigation, analyzing whether the merger could harm competition in the sales enablement software sector. The investigation considered the competitive landscape, including the rise of AI-native firms that are increasingly challenging legacy providers in this market.

Ultimately, the DOJ concluded that the merger would not significantly harm competition, leading to the closure of the investigation.
