The Slovak competition authority (PMÚ) approved the acquisition of exclusive control by AGEL SK a.s. over Všeobecná nemocnica s poliklinikou, n.o. (Lučenec Hospital) on September 7, 2026, but with specific conditions to mitigate competition issues.

Prior to the decision, extensive pre-notification consultations were held, including market research and discussions with health insurers and hospitals. The PMÚ identified competitive concerns primarily in the areas of inpatient and outpatient healthcare services, particularly regarding the overlap of AGEL's and Lučenec Hospital's activities.

The PMÚ's assessment focused on the competitive landscape in the Banskobystrický self-governing region, where both AGEL and Lučenec Hospital operate. Concerns were raised about potential price increases and reduced quality of healthcare services as a result of the acquisition.

AGEL's significant position in the region, especially concerning healthcare personnel, was also scrutinized. The PMÚ expressed worries that AGEL might limit employment opportunities for key healthcare staff at competing providers, thereby affecting the overall quality of healthcare services.

To address these concerns, the PMÚ imposed behavioral conditions on AGEL, including commitments to maintain pricing structures and quality of care, as well as restrictions on recruiting healthcare personnel from competitors. AGEL is also prohibited from further acquisitions in the region that could exacerbate its market position.

The decision became legally binding on September 8, 2026, ensuring that the acquisition does not significantly hinder effective competition in the relevant market.
