The Autorité de la concurrence in France has fined the Parfait group a total of €7.6 million for multiple breaches of commitments made during the acquisition of the Géant Casino hypermarket and La Batelière shopping centre in Martinique. This decision marks a significant enforcement action in the food retail sector.
In December 2022, the Autorité cleared the acquisition under specific conditions, including a requirement for the Parfait group to divest the hypermarket by September 22, 2023. However, the Parfait group failed to meet this deadline, delaying the divestiture by nearly two years and failing to preserve the value of the assets.
Additionally, the Parfait group did not cooperate with the monitoring trustee assigned to oversee compliance with the commitments. The Autorité noted that this lack of cooperation hindered the trustee's ability to effectively monitor the situation, further complicating the divestiture process.
The fines imposed include €4.5 million for the failure to divest, €2.5 million for not preserving the value of the hypermarket and shopping centre, and €600,000 for obstructing the monitoring trustee. This case highlights the serious implications of non-compliance with merger commitments and the authority's commitment to maintaining competition in the market.
