Airbus Secures Unconditional Approval for Spirit AeroSystems Asset Acquisition
The French competition authority has unconditionally cleared Airbus's acquisition of certain assets from Spirit AeroSystems, following a thorough analysis.

On September 19, 2025, Airbus notified the French competition authority, Autorité de la concurrence, of its intention to acquire exclusive control over specific assets of Spirit AeroSystems. This acquisition is part of the structural commitments made by Boeing to the European Commission to mitigate competition risks associated with its own acquisition of Spirit AeroSystems.
After conducting a detailed analysis in coordination with the European Commission, the Autorité de la concurrence has granted unconditional clearance for the transaction. The assets in question are primarily involved in the design and manufacture of aerostructures for Airbus's large commercial aircraft.
Airbus, a major player in the aeronautics sector, will integrate these assets, which are currently wholly owned by Spirit AeroSystems Holdings Inc., into its operations. The target assets are located in various regions, including France, the UK, Morocco, and the US.
The Autorité concluded that the acquisition poses no risk of harm to competition, both horizontally and vertically. The existing supply relationship between Airbus and the target assets means that the transaction will not significantly impact third-party suppliers or Airbus's competitors in the aircraft manufacturing market.
Additionally, the Autorité ruled out any risk of commercially sensitive information being shared, as the target assets exclusively supply Airbus and do not possess sensitive data about third parties. Separation measures will be implemented to ensure that no sensitive information is exchanged between Boeing and Airbus.
Given these findings and the commitments made by Boeing, the Autorité de la concurrence has cleared the transaction unconditionally.
