ACCC Approves Omnicom's Acquisition of Interpublic

The Australian Competition and Consumer Commission has decided not to oppose Omnicom Group's acquisition of Interpublic Group, concluding it won't significantly reduce competition in the advertising sector.

The Australian Competition and Consumer Commission (ACCC) has announced that it will not oppose the proposed acquisition of The Interpublic Group of Companies Inc. by Omnicom Group Inc. Both companies are major players in the advertising, media, and communications services industry.

Omnicom operates several key brands in Australia, including DDB, TBWA, OMD Worldwide, PHD Media, Clemenger Group, and Hearts & Science. Interpublic's notable brands in the region include IPG Mediabrands, Universal McCann (UM), Initiative, 303 MullenLowe, and Octagon.

The ACCC's investigation revealed that while the acquisition would increase the combined market share of Omnicom and Interpublic, it is unlikely to substantially lessen competition in the supply of media buying and marketing services. ACCC Commissioner Dr. Philip Williams stated that other suppliers would continue to effectively compete with Omnicom post-acquisition.

Furthermore, the ACCC identified that other significant advertising and media conglomerates, such as WPP, Publicis, and Dentsu, along with smaller independent providers, would remain competitive in the market.

The ACCC's decision is based on the legal framework outlined in section 50 of the Competition and Consumer Act, which prohibits acquisitions that could substantially lessen competition in any market. Notably, Universal McCann, part of Interpublic, is the exclusive provider of media buying services for all Australian Government departments, including the ACCC itself, managed by the Department of Finance.

Media buying services encompass the planning and purchasing of advertising space across various media types, while marketing and communications services involve creating advertising material and strategizing communication methods.
